Client IP Protection: For manufacturing projects, we routinely enter into Non-Disclosure Agreements (NDAs) to protect your formulations, branding, and proprietary information. Specific IP ownership terms will be detailed in project-specific agreements.
4. Manufacturing Services and Agreements
Our core business involves B2B manufacturing services (OEM/ODM, private label, etc.). Any engagement is governed by:
- A separate Manufacturing Agreement, NDA, or Purchase Order.
- Specifications, quality standards, pricing, lead times (typically 25–35 days for standard production), payment terms, and delivery conditions agreed in writing.
We maintain certifications including GMP, ISO 22716, FDA registration, and others as displayed on the Website. However, final regulatory compliance for your specific market (labeling, claims, registration) remains the responsibility of the client/brand owner.
Minimum Order Quantities (MOQ), pricing, and lead times vary by product and customization level.
5. Orders, Payments, and Cancellations
- All orders are subject to written confirmation and acceptance by us.
- Payment terms (e.g., deposit, balance before shipment) will be specified per quote.
- Cancellations or changes after production begins may incur fees for materials, labor, and restocking.
- Title and risk of loss typically transfer upon shipment (Incoterms as agreed).
6. Warranties and Quality
We warrant that products will be manufactured substantially in accordance with agreed specifications and tested per our quality control procedures.
No other warranties (express or implied) are provided beyond those in the specific manufacturing agreement. We are not responsible for final product performance claims made by the brand.
7. Limitation of Liability
To the fullest extent permitted by law, our total liability arising out of or related to these Terms or any services shall not exceed the amount paid to us for the specific products or services in question. We are not liable for indirect, consequential, punitive, or incidental damages, including lost profits, even if advised of the possibility.
